Bare Life Brand Ambassador Program Agreement

Overview:

This Bare Life Brand Ambassador Agreement (this “Agreement”) sets forth the terms and conditions for Signature A LLC’s (“Bare Life”) Bare Life Brand Ambassador Program, is referred to here as the “Program”.

This Agreement is a part of the Application to the Program to be a Bare Life Brand Ambassador.  By your submission of an Application to the Program you are agreeing to, and accepting all of the terms and conditions of this Agreement (this Agreement and the Application to the Program are jointly referred to as the “Application”).  Bare Life will review your Application and notify you of the status of your submission.

Title: Upon acceptance to the Program you will become a Bare Ambassador (“Ambassador”) for the products sold by Bare Life. 

Goals and Objectives: As an Ambassador you will perform services promoting Bare Life through Ambassador’s social media channels, including but not limited to Instagram, TikTok, Twitter, Facebook, YouTube, Pinterest, and your blog and/or website (the “Promotional Services”).  This Application will not create a partnership or joint venture between Bare Life and Ambassador.  All Promotional Services by Ambassador, under the terms of this Application, will be carried out by Ambassador as an independent contractor and not as an agent or employee of Bare Life.

Rewards and Compensation:

In exchange for Promotional Services by Ambassador, Bare Life will provide compensation in the form of commissions, discounts and products.  Upon acceptance into the Program Ambassador will receive:

• Free product(s) at least twice per year.
• Other items that will be included in the Program at the discretion of Bare Life.
• An exclusive 20% discount code: If an Ambassador would like to purchase more product for personal or promotional use, they will receive a discount code, found in the Ambassador Portal, which will provide a twenty percent (20%) discount on anything ordered through Bare Life’s website, eatbarelife.com. This code may not be shared and will only work with the Ambassador’s email provided in their Application. Access to the Ambassador Portal shall be sent to an Ambassador’s email upon acceptance to the Program.
• An introductory 10% commission: Ambassador will receive an initial ten percent (10%) commission on the total order amount when an Ambassador’s followers make a purchase using the Ambassador’s personalized code or purchase through an Ambassador’s personalized link. Commissions will not be given on any orders placed by an Ambassador for the Ambassador’s use. The commission funds will be released to the Ambassador forty-five (45) business days after an order has been placed, to allow for any customer return or refund period to have expired.  Commissions will be deposited into the PayPal account provided by the Ambassador.  The Ambassador is responsible for providing and maintaining a PayPal linked email for the receipt of commissions.
• Earnable Increased Commissions up to 25%: In the event that our Ambassador generates a total of twenty-five (25) orders, our Ambassador’s commission will thereafter automatically increase to fifteen percent (15%) of the total order amount when our Ambassador’s followers make a purchase using an Ambassador’s personalized discount code or purchase through Ambassador’s personalized link. In the event that an Ambassador generates a total of fifty (50) orders, our Ambassador’s commission will thereafter automatically increase to twenty percent (20%) of the total order amount when the Ambassador’s followers make a purchase using an Ambassador’s personalized discount code or purchase through the Ambassador’s personalized link. In the event that our Ambassador generates a total of one hundred (100) orders, the Ambassador’s commission will thereafter automatically increase to twenty-five percent (25%) of the total order amount when our Ambassador’s followers make a purchase using the Ambassador’s personalized discount code or purchase through the Ambassador’s personalized link.    

Post Content and Program Guidelines:

1. Ambassadors will follow or subscribe to all of Bare Life’s social media channels (including TikTok, Twitter, Facebook, Instagram, YouTube, and Pinterest).
2. All posts by an Ambassador will tag Bare Life and include the hashtags #BareLife and #FreeYourFood.
3. Posts will be original content and written by an Ambassador.
4. Posts will be either truthful, satirical, or obviously fictitious.
5. Posts by an Ambassador will not contain defamatory, disparaging or offensive content in any way to any race, sex, age, nationality, sexual orientation, product or business, or be contrary to any religious beliefs.
6. Posts by an Ambassador will not endorse any form of hate or hate group, promote violence, illegal activities or violate any law.
7. Posts by an Ambassador will not contain pornographic, sexually explicit or suggestive language, or full nudity.
8. Posts by an Ambassador will be compliant with the terms and conditions of the social media platform being used.
9. Ambassador must live or reside in the Unites States of America.
10. Ambassador must have a public account or accounts.
11. Ambassador must be at least eighteen (18) years of age.

Imagery and Content Release: The Ambassador grants Bare Life the right to use the Ambassador’s posts, comments, recipes, image, likeness, and sound of voice as recorded and shared as text, stills, or video where Bare Life, Bare Life’s products, or members, are depicted, mentioned or tagged, herein referred to collectively as the “Posted Material”. The Posted Material may be edited, copied, exhibited, shared, published and distributed by Bare Life and the Ambassador hereby waives the right to inspect or approve the material to be posted by Bare Life.  The Ambassador also assigns, waives, relinquishes, and releases, to Bare Life, any and all rights to royalties or other compensation arising out of or related to the use of the Posted Material (the “Usage Rights”).  The Ambassador understands and agrees that the Usage Rights include the use of the Posted Material in diverse commercial, public, or educational settings, within an unrestricted geographic area, which may include but are not limited to: Presentations; Television, Written Material for distribution or sale, Websites, Courses, Online/Internet Videos, Social Media, Media, Sales Material, and News (Press) Releases.  There is no time limit on the validity of the Usage Rights.  The Usage Rights will survive the termination of the Ambassador’s participation in the Program.   Bare Life shall NOT use the Posted Material in any disparaging, misleading, criticizing, or condemning way, or in any way to impugn the Ambassador.

Licensing and Trademark:

While this Application remains in effect with Ambassador, Bare Life grants to Ambassador a non-transferable, non-assignable, non-exclusive royalty-free license, without the right to sublicense, to use the Bare Life’s trademarks, branding, or other marks (the “Trademarks”) solely in connection with the Promotional Services in accordance with this Application.  Except as provided in this Application, Ambassador will not use the Trademarks, nor any adaptation or variation thereof, in any manner whatsoever, without the prior written consent of Bare Life in each instance, which may be withheld in Bare Life’s sole discretion.

Confidentiality: As part of the Program, Ambassador may have access to non-public, proprietary, or confidential information about Bare Life or the Program, as well as early access to Bare Life’s products and upcoming campaigns, which that Ambassador may not disclose to any third party without Bare Life’s prior written consent. Ambassador may not sell or disclose to any third party, any proprietary or confidential information acquired by Ambassador in the course of Ambassador’s work with the Program, without the prior written consent of Bare Life. This provision will survive for a period of five (5) years following the termination of this Application.

Non-Disparagement: The Ambassador hereby agrees that the Ambassador will not at any time, during the term of this Application or following the termination of this Application, either by conversation, other oral expression, letter, other written expression, by electronic transmission, or by any other deed or act of communication to the public, or to any individual, person, entity or groups of persons or entities, disparage, criticize, condemn, or impugn Bare Life or any of Bare Life’s employees, reputation or character, based upon any impression, event or circumstance occurring or existing prior to the termination of this Application. This provision will remain effective for a period of five (5) years following the termination of this Application.

Arbitration: The rights and obligations of this Application shall be governed by, interpreted, performed, and enforced in accordance with the substantive laws of the State of Connecticut. It is also expressly agreed that any controversy or claim between the Ambassador and Bare Life, arising out of or in connection with, or relating to the enforcement, non-enforcement, interpretation, performance, or breach of, any provision of this Application, shall first be attempted to be resolved solely by and between the Ambassador and Bare Life, and in good faith. If these personal resolution attempts fail, the parties shall then submit the dispute to binding arbitration, in the City of Hartford, State of Connecticut, in accordance with the rules, terms, and conditions of the American Arbitration Association.

Period and Termination: This Application shall remain effective and enforceable until terminated, with or without cause, by either party, at any time, by giving written notice of the date of termination.

Modification: Bare Life may modify any of the terms and conditions in this Application at any time, in Bare Life’s sole discretion. In such event, Ambassador will be notified by email and the updated Application will also be shared in the Ambassador’s Portal.

Separability Clause: Should any of the provisions of this Application be held invalid by any court, the same shall apply only to those provisions and the remaining provisions shall remain valid and enforceable.

No Waiver: In the event that Bare Life fails to enforce any provision of this Application, this shall not constitute a waiver of any future enforcement of that provision, part or sub-part or of any other provision, part, or sub-part.

Service Interruptions: Bare Life uses 3rd party software to run the Program and access to the Ambassador Portal and other services may be interrupted to perform maintenance or emergency services on an anticipated or unanticipated, scheduled or unscheduled basis. Bare Life shall make efforts to mitigate these impacts, however Bare Life shall have no liability for any damage, loss, or loss of income, resulting from such downtime.

Headings for Convenience: Headings of parts and sub-parts under this Application are for convenience and organization, only. Headings shall not affect the meaning of any provision of this Application.

Entire Application: This Application constitutes the entire understanding between Bare Life and the Ambassador with respect to the Program. This Application supersedes and replaces all prior or contemporaneous agreements or understandings, written or oral.
By agreeing to the terms and conditions of this Application to the Program you are accepting the terms, conditions, policies, and notices stated and referred to in this Application. Accepting this Agreement does not guarantee acceptance into the Program.
